I can't think of a defensible reason why this deal would require the divestiture of the Turner networks. Right now AT&T doesn't have any TV networks.

Nope. DirecTV owns Audience Network as well as a stable of sports networks (all starting with the word "Roots").
Audience Network has such a miniscule share that it's not really relevant for anti-competitive analysis. And Comcast had some tiny content channels before they bought NBC as well. Especially compared to something like Disney/Fox.
